Default header+ stock midpipe?

ok so ive done alot of research and searching and i have found as far as headers go:

a. DME is great for the price
b. you can eliminate cel with the anti fouler trick
c. headers make your car raspy

my questions are.... if i get the dme header with the stock s pipe and stock midpipe and the tanabe axleback....
a. with is still get rasp even though the midpipe has a cat
B. will i still throw a code, with the secondary cat.

setup= DME header.... stock spipe+stock midpipe+ tanabe axleback
whats your input.
