Unless otherwise specified below, the following rules shall apply to each of the Owner Alley Contest, Owner Stage Contest, Scionic Challenge Contest and Mix It Up Contest, which four contests are scheduled to take place at each event which is part of the “Scion Backstage” tour (each, an “Event”, and collectively, the “Events”), a Scion dealer training event open to select members of the public and scheduled to take place nationwide between March 28 and June 29, 2007. For a complete list of dates and venues, refer to the “Locations” page on www.scionbackstage.com.
DESCRIPTION OF EACH CONTEST:
The Owner Alley Contest is a car show competition among Scion owners who bring their vehicles to an Event. Each entrant in the Owner Alley Contest at an Event (an “OAC Participant”) will be allowed one (1) vehicle entry for such Event. OAC Participants will be directed by event staff to the Owner Alley parking area upon their arrival at their respective Event. Each OAC Participant will receive a registration form and a number to place in the vehicle’s windshield. All OAC Participant vehicles will park near each other in the designated area for judging.
The Owner Stage Contest is a presentation competition among Scion owners who speak about their vehicles in front of a live audience at an Event. Each entrant in the Owner Stage Contest at an Event (an “OSC Participant”) will be allowed an opportunity to sign up for a presentation time on the schedule board posted near Owner Stage to give one (1) presentation at such Event, subject to availability of presentation slots, on a first-come, first-served basis. In order to enter the Owner Stage Contest, OSC Participants must obtain and submit an Owner Alley registration form. OSC Participants are not required to display their vehicles in the Owner Alley Contest if they do not wish to do so. OSC Participant will bring his/her vehicle from the Owner Alley area to the designated Owner Stage area and then give a presentation to the judges and the audience about his/her vehicle. Suggested topics include why Participant chose to buy a Scion, what modifications, if any, he/she has made to the vehicle, how the vehicle is a reflection of personal style, and any future dreams Participant has for the vehicle. The presentation entry will be recorded on video, which Participant will be able to download after the Event from www.scionbackstage.com, using a private alphanumeric password provided by the contest administrator.
The Scionic Challenge Contest is a round-robin tournament of trivia contests involving up to eight participants per round. Each round will ask entrants in the Scionic Challenge Contest at an Event (an “SCC Participant”) eight trivia questions relating to Scion products, brand, and culture. There will be approximately four rounds per hour. Up to eight SCC Participants may compete in a single round. SCC Participants are scored on a combination of accuracy and speed of response. The SCC Participant with the highest score in each round will receive a small prize (detailed below). SCC Participants may not enter more than one time in each Event. At approximately 9:20PM, the SCC Participants with the eight ( highest scores will be able to compete in a championship round. The SCC Participant with the highest score from the Championship round will receive a prize (detailed below) at a prize presentation, held at 9:50PM.
The Mix It Up Contest is an artistic competition among attendees at an Event who elect to enter in the Mix It Up Contest (an “MIUP Participant”, and together with the OAC Participants and the OSC Participants, the “Participants”) by using one of the on-site computerized kiosks to design their own customized Scion and print out their creations for posting on the designated nearby display wall.
All entries must satisfy all of these "Official Rules" in order to be eligible to win any Prize.
WHO MAY ENTER:
Only legal residents of the fifty (50) United States and the District of Columbia who are eighteen (1 years of age or older, at the time of entry, are eligible to enter. Entrants may only enter the Contest as individuals and not as part of a group.
BY PARTICIPATING IN THE CONTEST, EACH PARTICIPANT REPRESENTS AND WARRANTS THAT HE OR SHE MEETS THESE ELIGIBILITY REQUIREMENTS AND HAS READ, ACCEPTS AND WILL COMPLY WITH THESE OFFICIAL RULES AND ANY VIOLATION THEREOF MAY DISQUALIFY PARTICIPANT FROM THE CONTEST. THE CONTEST IS SUBJECT TO ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS AND REGULATIONS. VOID WHERE PROHIBITED.

OAC Participants can enter the Owner Alley Contest in the following manner:
Upon arrival to an Event in a motor vehicle, Event ticket holders will be given an opportunity to enter in the Owner Alley Contest by event staff. Those electing to enter shall be directed to the Owner Alley parking area upon their arrival at their respective Event. Each OAC Participant will receive a registration form and a number to place in the vehicle’s windshield. All OAC Participant vehicles will park near each other in the designated area for judging.
OSC Participants can enter the Owner Stage Contest in the following manner:
OSC Participants need to schedule a time for their presentation. Event staff members will solicit OSC Participants and instruct any OSC Participant to sign up by registering for an available presentation time at the Presentation Docket Board, located near the Owner Stage. Participants need to bring their vehicles to the Owner Stage area five (5) minutes prior to their scheduled presentation times.
SCC Participants can enter the Scionic Challenge Contest in the following manner:
Participants will join a round of the Scionic Challenge Contest on a first-come, first-served basis. Participants may wait in line to join. To enter the game, each Participant scans the barcode on his/her name badge at the barcode reader located at the center of the playing area. Up to eight players can participate in a single round. At the end of each round, the game will reset and become available to a new group of players. A Participant may not enter the Scionic Challenge Contest more than once per Event.
MIUP Participants can enter the Mix It Up Contest in the following manner:
MIUC Participants can enter by going to the “Mix It Up Contest” section of the Event and following the instructions on the computerized kiosks.
JUDGING:
OAC Participants will be judged in the following manner:
All attendees at the Event, whether or not they enter a vehicle in the competition, will be given a ballot upon arrival. Attendees may write in the vehicle number (posted in the front windshield) of the car for which they would like to vote. Each ballot will have spaces for three votes, labeled First Place, Runner-Up, and Second Runner-Up. Ballots will be collected in a box located in the Owner Alley area. At 8:30PM, voting will close, and the ballots will be tabulated by event staff. Each vote for First Place will be scored as five (5) points; each vote for Runner-Up will be scored as three (3) points; each vote for Second Runner-Up will be scored as one (1) point. In addition, OAC Participants who enter the Owner Stage Contest will be given ten (10) bonus points, limit one time. The winning OAC Participants will be announced at 9:50PM by event staff. OAC Participant must be present in order to win an award. Prizes (detailed below) will be given to First Place, Runner-Up, and Second Runner-Up.
OSC Participants will be judged in the following manner:
Each presentation will be scored by a panel of three (3) judges. At least one judge will be an event staff member. As many as two judges will be volunteer judges from the audience. Judges will rate each OSC Participant on scale of one (1) through twenty-five (25), with twenty-five (25) as the highest score, in four categories: Charisma, Passion, Product Knowledge, and Presentation Style. Their scores will be written on paper scorecards, which will be collected in a score card box near the Owner Stage. OSC Participant presentations times will be available from 6:00PM until 9:10PM. After the final presentation, the event staff member will tabulate the scores. The winning OSC Participant will be announced at 9:50PM by event staff. OSC Participant must be present in order to win an award. A prize (detailed below) will be given to First Place.

Participants must post their printed images on the designated wall in the Personalization Shop. The wall will be available for images to be posted from 5:00PM until 9:30PM. Submissions will be judged by an event staff member, based on: degree of personalization, creativity, and uniqueness. One (1) winner will be selected, and announced by event staff at 9:50PM. Participant must be present in order to win an award (detailed below).
OWNERSHIP / NAME AND LIKENESS / PUBLICITY:
By submitting the Contest Submission, Participants exclusively grant all right, title and interest in and to all such materials submitted to Producer and Sponsor as part of any of the Contests. At Producer’s or Sponsor’s discretion, approved Contest Submissions may or may not be published on Producer’s or Sponsor's website(s), telecast, broadcast or otherwise exploited by any means or manners (now or hereafter known). Entry in the Contest constitutes irrevocable permission for Producer and Sponsor and its and their licensees, successors, assigns and sub-licensees (collectively, "Licensee") to use any or all contents of the Contest Submission and all other materials submitted to Sponsor by Participant and each Participant's name (except that the name of Tennessee residents who do not so consent will not be used for purely publicity purposes), likeness and biography for use in connection therewith, including for advertising and/or publicity purposes, in all media and by all manners (now and hereafter known) and on and in connection with related products, services, advertising and promotional materials, worldwide and in perpetuity, without further compensation or other consideration.
WINNERS’ PUBLICITY:
Except where prohibited, participation in any of these Contests constitutes winner’s consent to Sponsor’s and its parent, subsidiary and affiliated companies, and their advertising and promotion agencies and other designees’ use of winner’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional, publicity, public relations and advertising purposes in any manner in any and all media now or hereafter known worldwide in perpetuity, without further payment, consideration, permission or notification.
ODDS:
ODDS OF WINNING WILL DEPEND ON THE NUMBER OF ENTRIES RECEIVED AND THE SKILL OF EACH PARTICIPANT. Many people may enter but few will win.

WINNER NOTIFICATION, ELIGIBILITY AND GENERAL CONDITIONS:
Contest Winners must be present to win any prize and may be required to sign an Affidavit of Eligibility, Liability & Publicity Release in order to claim his/her prize. If a potential winner fails to sign the Affidavit of Eligibility, Liability & Publicity Release on site, the potential winner shall be deemed to have forfeited his/her prize. If any potential Winner is found to be ineligible, or if he or she has not complied with these Official Rules, he or she may be disqualified and an alternate Contest Submission may be selected by Producer, in its sole discretion. All Prizes will be awarded except if it is not possible or practical to determine an alternate winner in a sufficient time frame such that the Event can continue smoothly.
The Sponsor and Producer shall not be responsible for awarding any unawarded prizes, if the Prize Winner's behavior at any of the Regional Events, Finals and/or at any other time whatsoever causes the event producer to refuse service to or to force the Prize Winner to leave such event. Also, the Sponsor and Producer will not be responsible for awarding any unawarded portion of the Prize to the Prize Winner if, the Prize Winner undertakes activities or communicates messages or images or engages in speech publicly or made known publicly that: (a) are sexually explicit, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; (b) are obscene or offensive, or may create public disrepute, contempt, scandal or ridicule; (c) defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any third party's or Sponsor's personal or intellectual property rights or contain disparaging remarks about other people or companies; (d) are inconsistent with the positive images and/or goodwill to which the Sponsor wishes to associate (which may be determined by the Sponsor, at its sole and absolute discretion); and/or (e) otherwise violate the terms of any of the agreements that the Prize Winner has agreed to comply with as an entrant of this Contest.
In the event Producer and/or Sponsor is prevented from continuing with the Contests by an event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within the Producer and/or Sponsor's control (each a "Force Majeure" event or occurrence), Producer and/or Sponsor shall have the right to modify, suspend or terminate the Contest.
SUSPENSION / MODIFICATION / TERMINATION:
Sponsor reserves the right, in its sole discretion, to modify, change, add to, delete, suspend or terminate these Official Rules, the Contest, the Prize or the Prize Winner(s) for any reason whatsoever without giving notice to Participants. Sponsor additionally reserves the right, in its sole discretion: (1) to modify, suspend or terminate the Contest should causes beyond Sponsor's control corrupt or interfere with the administration, integrity, operation, security or proper play of the Contest; or (2) to disqualify any Participant found to be, or suspected of: (a) tampering with the entry process or the operation of the Contest; (b) acting in violation of these Official Rules; or (c) acting in an un-sportsmanlike manner. All Participants must check Sponsor's website regularly to determine if there have been any changes made to the Official Rules, the Contest or the Prize(s).
MISCELLANEOUS:
The invalidity or unenforceability of any provision of these Official Rules, the Entry Form, the Work Log or the Prize Acceptance Document will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules, the Entry Form, the Work Log or the Prize Acceptance Document is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof.
VOID WHERE PROHIBITED OR RESTRICTED BY LAW.
RELEASE:
By participating, Participant agrees to release and hold harmless the Sponsor, ES3, and their respective parents, subsidiaries, affiliates, distributors, dealers, dealer advertising associations, advertising and promotions agencies, prize suppliers and any other agency that provides services in connection with any of these Contests, and each of their respective officers, directors, employees, representatives, contractors and agents and successors and assigns (the “Released Parties”) from and against any and all rights, claims and causes of action whatsoever that they may have, or which may arise, against any of them for any liability for any matter, cause or thing whatsoever, including but not limited to any injury, loss, damage, whether direct, compensatory, incidental or consequential, to person, including death and property, arising in whole or in part, directly or indirectly, from their acceptance, possession, use or misuse of the prize in any of these Contests, or their participation in any of these Contests or prize related activity, or any travel related to any of these Contests or any travel for any prize-related activity. Winner also further acknowledges that Sponsor, its affiliates, subsidiaries, employees, officers, directors, and promotions and advertising agencies have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, expressed or implied, in fact or in law, relative to any prize or ANY OF THESE CONTESTS.
DISPUTES:
Participant agrees that (a) any and all disputes, claims, and causes of action arising out of, or connected with, any of these Contests (including without limitation, any alleged violation of these Official Rules, any controversy relating to the arbitrability of any dispute, or any claim that these Official Rules (or any part thereof) are invalid, illegal, or otherwise voidable (or void)) shall be resolved individually, without resort to any form of class action, and exclusively by arbitration to be held solely in Los Angeles, California under the auspices of the American Arbitration Association and pursuant to its Commercial Dispute Resolution Rules and Procedures; (b) any and all claims, judgments, liabilities, and/or awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participant’s participation in this any of these Contests, but in no event attorneys’ fees; and (c) under no circumstances will Participant be permitted to obtain awards for, and Participant hereby waives, all rights to claim, punitive, special, incidental, and/or consequential damages and any other damages, other than out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. Judgment upon the arbitration award may be entered in any court having jurisdiction thereof. This arbitration provision shall be deemed to be self-executing, and in the event that either party fails to appear at any properly noticed arbitration proceeding, an award may be entered against such party notwithstanding said failure to appear. In no event shall participant seek or be entitled to rescission, injunctive, or other equitable relief or to enjoin or restrain the operation of any of these Contests, exploitation of any advertising or other materials issued in connection therewith, or exploitation of any of these Contests or any content or other material used or displayed on any of these Contests.
All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with any of these Contests, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.

SCC Participants can enter the Scionic Challenge Contest in the following manner:
Participants will join a round of the Scionic Challenge Contest on a first-come, first-served basis. Participants may wait in line to join. To enter the game, each Participant scans the barcode on his/her name badge at the barcode reader located at the center of the playing area. Up to eight players can participate in a single round. At the end of each round, the game will reset and become available to a new group of players. A Participant may not enter the Scionic Challenge Contest more than once per Event.
MIUP Participants can enter the Mix It Up Contest in the following manner:
MIUC Participants can enter by going to the “Mix It Up Contest” section of the Event and following the instructions on the computerized kiosks.
JUDGING:
OAC Participants will be judged in the following manner:
All attendees at the Event, whether or not they enter a vehicle in the competition, will be given a ballot upon arrival. Attendees may write in the vehicle number (posted in the front windshield) of the car for which they would like to vote. Each ballot will have spaces for three votes, labeled First Place, Runner-Up, and Second Runner-Up. Ballots will be collected in a box located in the Owner Alley area. At 8:30PM, voting will close, and the ballots will be tabulated by event staff. Each vote for First Place will be scored as five (5) points; each vote for Runner-Up will be scored as three (3) points; each vote for Second Runner-Up will be scored as one (1) point. In addition, OAC Participants who enter the Owner Stage Contest will be given ten (10) bonus points, limit one time. The winning OAC Participants will be announced at 9:50PM by event staff. OAC Participant must be present in order to win an award. Prizes (detailed below) will be given to First Place, Runner-Up, and Second Runner-Up.
OSC Participants will be judged in the following manner:
Each presentation will be scored by a panel of three (3) judges. At least one judge will be an event staff member. As many as two judges will be volunteer judges from the audience. Judges will rate each OSC Participant on scale of one (1) through twenty-five (25), with twenty-five (25) as the highest score, in four categories: Charisma, Passion, Product Knowledge, and Presentation Style. Their scores will be written on paper scorecards, which will be collected in a score card box near the Owner Stage. OSC Participant presentations times will be available from 6:00PM until 9:10PM. After the final presentation, the event staff member will tabulate the scores. The winning OSC Participant will be announced at 9:50PM by event staff. OSC Participant must be present in order to win an award. A prize (detailed below) will be given to First Place.
Participants in the Scionic Challenge Contest will be judged in the following manner:
Each round will ask Participants eight trivia questions relating to Scion products, brand, and culture. There will be approximately four rounds per hour. Up to eight Participants may compete in a single round. Participants are scored on a combination of accuracy and speed of response. The participant with the highest score in each round will receive a small prize (detailed below). Participants may not enter more than one time in each Event. At approximately 9:20PM, the Participants with the eight ( highest scores will be able to compete in a championship round. The Participant with the highest score from the Championship round will receive a prize (detailed below) at a prize presentation, held at 9:50PM.
Participants in the Mix-It-Up Contest will be judged in the following manner:
Participants must post their printed images on the designated wall in the Personalization Shop. The wall will be available for images to be posted from 5:00PM until 9:30PM. Submissions will be judged by an event staff member, based on: degree of personalization, creativity, and uniqueness. One (1) winner will be selected, and announced by event staff at 9:50PM. Participant must be present in order to win an award (detailed below).
OWNERSHIP / NAME AND LIKENESS / PUBLICITY:
By submitting the Contest Submission, Participants exclusively grant all right, title and interest in and to all such materials submitted to Producer and Sponsor as part of any of the Contests. At Producer’s or Sponsor’s discretion, approved Contest Submissions may or may not be published on Producer’s or Sponsor's website(s), telecast, broadcast or otherwise exploited by any means or manners (now or hereafter known). Entry in the Contest constitutes irrevocable permission for Producer and Sponsor and its and their licensees, successors, assigns and sub-licensees (collectively, "Licensee") to use any or all contents of the Contest Submission and all other materials submitted to Sponsor by Participant and each Participant's name (except that the name of Tennessee residents who do not so consent will not be used for purely publicity purposes), likeness and biography for use in connection therewith, including for advertising and/or publicity purposes, in all media and by all manners (now and hereafter known) and on and in connection with related products, services, advertising and promotional materials, worldwide and in perpetuity, without further compensation or other consideration.
WINNERS’ PUBLICITY:
Except where prohibited, participation in any of these Contests constitutes winner’s consent to Sponsor’s and its parent, subsidiary and affiliated companies, and their advertising and promotion agencies and other designees’ use of winner’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional, publicity, public relations and advertising purposes in any manner in any and all media now or hereafter known worldwide in perpetuity, without further payment, consideration, permission or notification.
ODDS:
ODDS OF WINNING WILL DEPEND ON THE NUMBER OF ENTRIES RECEIVED AND THE SKILL OF EACH PARTICIPANT. Many people may enter but few will win.

Winners of the Owner Alley Contest will receive the following prizes:
1. Best in Show: ($100 value) - trophy
2. Runner-Up: ($50 value) - trophy
3. Second Runner-Up: ($10 value) – T-shirt
Winners of the Owner Stage Contest will receive the following prizes:

(note: every Participant in Owner Stage will receive a hat ($5 value))
Winners of the Scionic Challenge Contest will receive the following prizes:
1. First Place: ($100 value) - trophy
(note: the Participant with the highest score in each round will receive a T-shirt ($10 value))
Winners of the Mix It Up Contest will receive the following prizes:
First Place: ($100 value) – trophy
WINNER NOTIFICATION, ELIGIBILITY AND GENERAL CONDITIONS:
Contest Winners must be present to win any prize and may be required to sign an Affidavit of Eligibility, Liability & Publicity Release in order to claim his/her prize. If a potential winner fails to sign the Affidavit of Eligibility, Liability & Publicity Release on site, the potential winner shall be deemed to have forfeited his/her prize. If any potential Winner is found to be ineligible, or if he or she has not complied with these Official Rules, he or she may be disqualified and an alternate Contest Submission may be selected by Producer, in its sole discretion. All Prizes will be awarded except if it is not possible or practical to determine an alternate winner in a sufficient time frame such that the Event can continue smoothly.
The Sponsor and Producer shall not be responsible for awarding any unawarded prizes, if the Prize Winner's behavior at any of the Regional Events, Finals and/or at any other time whatsoever causes the event producer to refuse service to or to force the Prize Winner to leave such event. Also, the Sponsor and Producer will not be responsible for awarding any unawarded portion of the Prize to the Prize Winner if, the Prize Winner undertakes activities or communicates messages or images or engages in speech publicly or made known publicly that: (a) are sexually explicit, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; (b) are obscene or offensive, or may create public disrepute, contempt, scandal or ridicule; (c) defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any third party's or Sponsor's personal or intellectual property rights or contain disparaging remarks about other people or companies; (d) are inconsistent with the positive images and/or goodwill to which the Sponsor wishes to associate (which may be determined by the Sponsor, at its sole and absolute discretion); and/or (e) otherwise violate the terms of any of the agreements that the Prize Winner has agreed to comply with as an entrant of this Contest.
In the event Producer and/or Sponsor is prevented from continuing with the Contests by an event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within the Producer and/or Sponsor's control (each a "Force Majeure" event or occurrence), Producer and/or Sponsor shall have the right to modify, suspend or terminate the Contest.
SUSPENSION / MODIFICATION / TERMINATION:
Sponsor reserves the right, in its sole discretion, to modify, change, add to, delete, suspend or terminate these Official Rules, the Contest, the Prize or the Prize Winner(s) for any reason whatsoever without giving notice to Participants. Sponsor additionally reserves the right, in its sole discretion: (1) to modify, suspend or terminate the Contest should causes beyond Sponsor's control corrupt or interfere with the administration, integrity, operation, security or proper play of the Contest; or (2) to disqualify any Participant found to be, or suspected of: (a) tampering with the entry process or the operation of the Contest; (b) acting in violation of these Official Rules; or (c) acting in an un-sportsmanlike manner. All Participants must check Sponsor's website regularly to determine if there have been any changes made to the Official Rules, the Contest or the Prize(s).
MISCELLANEOUS:
The invalidity or unenforceability of any provision of these Official Rules, the Entry Form, the Work Log or the Prize Acceptance Document will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules, the Entry Form, the Work Log or the Prize Acceptance Document is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof.
VOID WHERE PROHIBITED OR RESTRICTED BY LAW.
RELEASE:
By participating, Participant agrees to release and hold harmless the Sponsor, ES3, and their respective parents, subsidiaries, affiliates, distributors, dealers, dealer advertising associations, advertising and promotions agencies, prize suppliers and any other agency that provides services in connection with any of these Contests, and each of their respective officers, directors, employees, representatives, contractors and agents and successors and assigns (the “Released Parties”) from and against any and all rights, claims and causes of action whatsoever that they may have, or which may arise, against any of them for any liability for any matter, cause or thing whatsoever, including but not limited to any injury, loss, damage, whether direct, compensatory, incidental or consequential, to person, including death and property, arising in whole or in part, directly or indirectly, from their acceptance, possession, use or misuse of the prize in any of these Contests, or their participation in any of these Contests or prize related activity, or any travel related to any of these Contests or any travel for any prize-related activity. Winner also further acknowledges that Sponsor, its affiliates, subsidiaries, employees, officers, directors, and promotions and advertising agencies have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, expressed or implied, in fact or in law, relative to any prize or ANY OF THESE CONTESTS.
DISPUTES:
Participant agrees that (a) any and all disputes, claims, and causes of action arising out of, or connected with, any of these Contests (including without limitation, any alleged violation of these Official Rules, any controversy relating to the arbitrability of any dispute, or any claim that these Official Rules (or any part thereof) are invalid, illegal, or otherwise voidable (or void)) shall be resolved individually, without resort to any form of class action, and exclusively by arbitration to be held solely in Los Angeles, California under the auspices of the American Arbitration Association and pursuant to its Commercial Dispute Resolution Rules and Procedures; (b) any and all claims, judgments, liabilities, and/or awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participant’s participation in this any of these Contests, but in no event attorneys’ fees; and (c) under no circumstances will Participant be permitted to obtain awards for, and Participant hereby waives, all rights to claim, punitive, special, incidental, and/or consequential damages and any other damages, other than out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. Judgment upon the arbitration award may be entered in any court having jurisdiction thereof. This arbitration provision shall be deemed to be self-executing, and in the event that either party fails to appear at any properly noticed arbitration proceeding, an award may be entered against such party notwithstanding said failure to appear. In no event shall participant seek or be entitled to rescission, injunctive, or other equitable relief or to enjoin or restrain the operation of any of these Contests, exploitation of any advertising or other materials issued in connection therewith, or exploitation of any of these Contests or any content or other material used or displayed on any of these Contests.
All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with any of these Contests, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.
